Stocking a 40 Gallon

I am in the process of setting up my 40 gallon breeder (36"x18"x16") and I am starting to think about my stocking list. I would like to keep this a south american brazilian biotope and here is what I have come up with:

7 Hatchet fish (can't decide which one) - Top of the tank
7 Lemon Tetra (from existing tank) - Middle of the tank
11 Rummynose Tetra - Lower part of tank
1 Whiptale Catfish - Substrate

As far as compatibility and tank size, do you think this will work?

Yes, No? To many fish? I could skip on getting the hatchet fish. They were just a last minute thought to fill in the top of the tank.
